By accepting a project order from 47one Studios LLC, the Artist agrees to the following Terms & Conditions:

I. Scope of Agreement
1. These Terms apply to all individual projects (each an “Order”) between 47one Studios LLC, 9854 National Blvd, Los Angeles, CA 90034, United States (“47one Studios”) and the 3D Artist (“Artist”).
2. Each Order is agreed separately. 47one Studios has no obligation to provide, nor the Artist to accept, any minimum number of Orders.

II. Orders & Delivery
1. Orders become binding once confirmed in writing (Message in Discord).
2. Typical turnaround time is 3–5 business days, unless otherwise agreed in the Order.
3. The Artist must notify 47one Studios immediately if delivery delays are expected.
4. Failure to deliver on time may entitle 47one Studios to withdraw from the Order and claim damages.

III. Supplied Material
1. All material delivered by the Artist, regardless of format or stage of completion, becomes the property of 47one Studios upon delivery.
2. The Artist warrants that:
• they are the sole author of the material,
• the material is free from third-party rights,
• they are entitled to grant full usage rights to 47one Studios.

IV. Usage Rights
1. The Artist grants 47one Studios exclusive, worldwide, perpetual, transferable, and sublicensable rights to use, edit, reproduce, and exploit the delivered material without limitation.
2. The Artist waives any right of attribution; 47one Studios may use the material anonymously and mark it with “© 47one Studios” or similar branding.
3. The Artist is prohibited from using, selling, or sharing the material with third parties. Breach results in a contractual penalty of $5,000 per asset.

V. Fees
1. Fees are defined in each individual Order.
2. Payment of the fee covers the granted rights as set out in Section IV.

VI. Liability & Indemnification
1. 47one Studios is only liable for damages caused by gross negligence or willful misconduct.
2. The Artist indemnifies and holds 47one Studios harmless from all third-party claims (e.g., copyright, IP, or personality rights infringements) arising from their work.

VII. Non-Circumvention
1. If the Artist enters into direct business with a client introduced through 47one Studios, the Artist shall pay liquidated damages equal to 50% of the net fee agreed with that client, but not less than $15,000.

VIII. Confidentiality (NDA)
1. Definition: Confidential Information includes all technical, creative, business, and client-related information disclosed by 47one Studios.
2. Obligation: The Artist must keep all Confidential Information secret and use it solely for fulfilling the Order.
3. Permitted Disclosure: Only allowed if required by law or court order.
4. Duration: Confidentiality obligations remain in effect for 5 years after project completion.
5. Breach: Unauthorized disclosure may result in liquidated damages of up to $50,000 per breach, in addition to actual damages.

IX. General Provisions
1. Governing Law: State of California, United States.
2. Jurisdiction: Los Angeles, California.
3. If any clause is invalid, the remainder remains effective; the invalid clause shall be replaced with one closest in meaning and effect.
